This website is not an offer
This website is published by MBH Capital Management and its affiliates ("MBH Capital") for information only. Some content on it may be general solicitation under Rule 506(c) of Regulation D.
Interests in MBH Capital Management, LLC ("Fund I"), MBH Fund II, LP, MBH Hedge Fund II, LP and any other MBH Capital fund are offered only through that fund's Private Placement Memorandum ("PPM") and subscription documents. Those documents contain the full terms, fees, liquidity provisions and risk factors, and they control if anything on this website differs from them.
The funds are offered only in the United States. Nothing on this website is an offer in any place where the offer would be unlawful.
Who can invest
Fund interests are sold only to accredited investors as defined in Rule 501(a) of Regulation D. Before any investment is accepted, each investor's accredited status is verified, for Fund I through an independent third party. Ticking a box on a website is not verification.
MBH Hedge Fund II, LP is further limited to qualified purchasers as defined in the Investment Company Act of 1940 (generally, individuals with at least $5 million in investments).
Regulatory status
The funds' interests are not registered under the Securities Act of 1933 and are offered under an exemption from registration. The funds are not registered as investment companies under the Investment Company Act of 1940.
MBH Capital's management entities rely on exemptions from investment adviser registration and are not registered with the SEC or any state. Not being registered, and relying on an exemption, is not an endorsement by any regulator. No regulator has reviewed or approved this website, the funds or their offering documents.
MBH Capital GP, LLC, the general partner of MBH Fund II, LP and MBH Hedge Fund II, LP, claims an exemption from registration with the Commodity Futures Trading Commission as a commodity pool operator under CFTC Rule 4.13(a)(3). It is therefore not required to deliver a CFTC disclosure document or certified annual report to investors, and the CFTC has not reviewed or approved those funds or their offering documents.
Service providers
Fund I's service providers are: fund administrator, Repool; independent auditor, Cherry Bekaert LLP (calendar year 2025; Spicer Jeffries LLP audited November 6, 2023 to December 31, 2024); prime broker, Interactive Brokers LLC. Service providers are named for information only. None of them has reviewed or endorses the fund or the information on this website.
About our performance figures
- Net of fees. Fund returns shown are net of management fees, incentive or performance allocations and fund expenses, as calculated by each fund's independent administrator, unless clearly labeled otherwise. An individual investor's return depends on when they invested and can differ from the figures shown.
- Audited vs. unaudited. Fund I's financial statements for November 6, 2023 to December 31, 2024 and for calendar year 2025 were audited by independent accounting firms. Returns after December 31, 2025 are unaudited. The most recent month may be an estimate until the administrator finalizes it, and is labeled as such.
- Our own calculations. Ratios and statistics such as annualized return, volatility, drawdown, Sharpe ratio, Sortino ratio and correlation are calculated by MBH Capital from monthly net returns. They are not audited, and different methods can give different results.
- Benchmarks. Index comparisons, such as the S&P 500, are for context only. The funds do not track any index, and their holdings, strategy and risks differ materially from any index.
- Hypothetical results. Any figure described as backtested, hypothetical, simulated, modeled or a target does not represent actual trading, was prepared with the benefit of hindsight, and may not reflect trading costs, slippage, fees or taxes. No fund achieved those results.
- Past performance, actual or hypothetical, does not guarantee or predict future results.
Targets
We do not publish a return target on this website. Any return objective discussed in a fund's offering documents or on a call is used to manage the fund. It is not a forecast, projection or promise, and the fund may not meet it.
Key risks
Investing in the funds is speculative and involves a high degree of risk. You could lose all or a substantial part of your investment. Risks include, among others:
- Options risk. The funds sell and buy options, including same-day ("0DTE") S&P 500 index options. Selling options can produce large losses quickly, and losses on a position can far exceed the premium received.
- Leverage and exposure. Options positions can create market exposure much larger than the capital set aside for them.
- Risk controls can fail. Stop-losses, daily loss limits and hedges may not work as intended, especially in fast or gapping markets.
- Overnight and gap risk. Some positions may be held overnight and are exposed to price gaps between sessions.
- Model and systems risk. The funds rely on automated, rules-based strategies. Errors in models, data, software or connectivity can cause losses.
- Key person risk. The funds depend heavily on Mark Anderson.
- Limited liquidity. Interests cannot be freely transferred. Withdrawals are subject to the notice periods, holdbacks, gates and suspension rights in each fund's offering documents.
- Limited operating history. Fund I began trading in November 2023. MBH Fund II, LP and MBH Hedge Fund II, LP have shorter histories.
Each fund's PPM contains a full discussion of risk factors. Read it carefully before investing.
Conflicts of interest
MBH Capital and its principals earn management fees and incentive or performance allocations from the funds, and Mark Anderson invests his own money in them. They therefore have a financial interest in attracting investors to the funds. Some links on this site or in our videos may be referral links for which MBH Capital or Mark Anderson is paid.
